LINKEDPAY Terms and Conditions

These Terms and Conditions came into force on November 10, 2022.

These Terms and Conditions were last updated on January 22, 2024.

LINKEDPAY, S.A., its parent, subsidiaries, successors, assigns and affiliates ("LinkedPay", "we", "our" or "us") provide access to and use of www.linkedPay.co.ao, a website owned and operated by LinkedPay, as well as any and all other websites, mobile-optimized websites, mobile applications, subdomains owned, operated or controlled by LinkedPay (the "Site", "LinkedPay" "Application"), together with the content, software, mobile services, financial products and features offered on or through the Website and Application LPay (collectively, the "Services").

These Terms and Conditions (the "Terms") or (the "Agreement"), as well as any and all terms and conditions specific to each of our products and services, as amended from time to time, represent an agreement between the User and LPay or between the User and other Users and govern their use of and access to our services.

Please read these Terms carefully to ensure that you understand each provision. By giving your OPT to the Agent, or otherwise using the services, whether as a guest or registered user, or otherwise accepting these Terms, and agree to be bound by these Terms, our Privacy and Cookie Policy and all future modifications to these Terms, as well as the collection of use of your information, as set out in our Privacy & Cookie Policy.

1. DEFINITION

1.1 "LinkedPay" means, mobile payment organization/platform licensed by the National Bank of Angola ("BNA").

1.2 "Agent" means an authorized agent of LinkedPay. The Agent facilitates the registration of a QRcode and allows the user to access the functions of the LPay Account, including but not limited to depositing, withdrawing, transferring and paying invoices, where the user has authorized the Agent to act on their behalf for this purpose.

1.3 "OTP" stands for One-Time Password (OTP), it is a password that is valid for only one login session.

1.4 "LPay Account" means an account linked to the LPay Application provided by LinkedPay.

1.5 "Bill Payment" or "Payment Account" means the service provided by LinkedPay via QRcode, including but not limited to mobile phone bill payment, TV bill payment and electricity bill payment.

1.6 "QRcode" means an image encoded with the LinkedPay customer number with a unique QRcode code. Customers can use the QRcode through the Agent or the LPay App.

1.7 "Pay by Transfer" means a digital account number for the money receiving service and is linked to the LPay account.

1.8 "Digital Account Number" means a 9-digit personal account number linked to the LPay Account for the "pay by transfer" service.

1.9 "Physical Poster" means a physical poster with a digital account number and binding code for the "Pay by Transfer" service.

1.10 "Intellectual Property Rights" means all industrial and intellectual property rights of LinkedPay (as the context provides), whether registered or unregistered, including, without limitation, patents, trademarks and service marks, designs, copyrights and any applications for any or any part of the world and the copyright in all designs, plans, specifications, designs and computer software owned or licensed to LinkedPay (as the context provides) and used in or for the purposes of its business, all know-how and confidential information so owned and used.

1.11 "Charges" means the fees and other charges payable under this Agreement for services provided via the LPay Application.

2. CONSENT TO THESE TERMS

By accessing or using the services, you agree to our Terms. You also acknowledge that you have read, understood, and agree to be bound by the terms and conditions described in these Terms and to comply with all of our terms of use and applicable third-party service provider agreements. Further, you agree that our third-party service providers are third-party beneficiaries of the applicable provisions of these Terms, with all rights to enforce such provisions as if such service providers were parties to these Terms.

3. THE SERVICES WE PROVIDE

3.1 The LPay Account Service.

3.1.1 For the User who registers an LPay Account in the LPay Application, he/she can enjoy the services that include, without limitation, the ability to: register as a customer, credit money to an LPay Account through various channels namely: associated account, ATM express, pay or transfer money to third parties, transfer funds to a bank account, transfer funds to an LPay account; pay merchants; receive money from third parties; withdraw and load with cash the application at any of our Agent locations, solicit money from users registered with LPay, perform and/or complete certain functions related to LPay's services.

3.2 The QRcode option

3.2.1 The User, through the Agent or the LPay Application, can receive money, make transfers and other available features. All transactions completed through the QRcode will be reflected in your LPay Account balance.

3.3 The Payment by Transfer Service.

3.3.1 For the User who requests the "Payment by Transfer" service through the LPay Application, he/she will send/receive randomly to a number linked to his/her LPay Account.

3.4 All descriptions of proposed products and services are based on assumptions (which are subject to change) and you should not rely on the availability or functionality of products or services until they are actually offered through the Website or the LPay App. We reserve the right, in our sole discretion, to determine how registration and other promotions will be awarded. This determination includes, without limitation, the scope, nature and timing of all such awards.

4. RIGHTS AND DUTIES OF THE LPAY ACCOUNT USER

4.1 Without prejudice to the other rights provided for in these Terms, the User of the LPay Account has the following rights:

4.1.1 Receive, at your request, at any time during the contractual relationship, these Terms.

4.1.2 Not to be conditioned on the opening of the account to the acquisition of additional products or services;

4.1.3 The information made available to LinkedPay will not be used for other purposes or made available to third parties without their prior authorization;

4.1.4 Be informed, in writing, of the reasons justifying the refusal to open the account;

4.1.5 Have access, on a monthly basis, in physical or electronic format, free of charge, to the statement of account transactions;

4.1.6 Be informed about the initiation of a payment order and its execution, with the specifications provided for in the applicable law and regulations.

4.2 Without prejudice to the other duties provided for in these Terms, the User of the LPay Account shall have the following duties:

4.2.1 Provide correct, complete and accurate information and data for the purposes of entering into and executing this Agreement, as well as authorize LinkedPay to collect from any third party all information necessary for the provision of services, including, but not limited to, registration, corporate and/or banking data;

4.2.2 Provide LinkedPay, upon request, with any information or clarification on any aspect related to the performance of this Agreement;

4.2.3 Not to use the services to be provided to commit any violation of the laws in force in the Republic of Angola;

4.2.4 Provide LinkedPay with any information or clarification on all events that appear to it to be relevant to the proper performance of this Agreement.

4.2.5 Report to LinkedPay, without undue delay, and as soon as you become aware of the facts, the loss, theft, misappropriation or any unauthorized use of your LPay Account or your credentials.

4.3 The User is responsible for all transactions that occur in his/her account, and therefore exempts LinkedPay from any mistakes, misuses, etc., that may result from such transactions.

4.4 The User is also responsible for any fraud they may suffer as a result of non-compliance with the security rules set forth in this Agreement, regarding the provision of their passwords to third parties.

5. THE TERMS OF USE OF OUR SERVICES

To access and use our services, you must:

5.1 You must be at least 14 years of age to be able to access or use the services or create an LPay account, as the services are not intended for children under the age of 14. The Services are not available to any user previously removed from the Services (or whose user account has been terminated) by LinkedPay. Represent and warrant that you have the legal right and capacity to enter into these Terms and use the services in accordance with these Terms.

5.2 You have registered an LPay account on the LPay App or have registered through an Agent.

5.3 Provide any information requested by us, such as your name, gender, date of birth, identity card, VAT number, email address, passport photo, address, mobile phone number, bank verification number ("IBAN"), credentials to register on the LPay App and other information that may be requested (collectively, "user information"). By providing LinkedPay with your IBAN, you authorize LinkedPay to collect and save your data from the database as part of our "know your customer" information to comply with regulatory requirements. All know-your-customer data collected will be treated as confidential. It also allows us to use your IBAN to monitor, prevent and detect fraudulent activity.

5.4 Ensure that all information provided by the User is true, accurate, current and complete. And you agree not to misrepresent your identity or your user information. You agree to notify us immediately of changes to your user information. If we approve your registration, you will be authorized to use the services, subject to these "Terms and Conditions" provided that the services are not used for fraud.

5.5 Promise and warrant that you only access and use our services on your own. LinkedPay shall not be liable for any transaction of any third party unless with written confirmation agreed by both parties.

6. PROCEDURES INVOLVED IN THE USE OF LPAY ACCOUNT SERVICES SCOPE

6.1 Add funding sources to your account:

6.1.1 You can access available funds from sources other than your account, you can link bank accounts to your LPay Account, by reference and Multicaixa Express.

6.1.2 Confirmation and authorization of your other funding sources is required via a unique password, OTP and password for payment authorization. Once authorized, you grant LinkedPay and your bank the authority to debit any of your source(s) at your request or on any recurring schedule you have indicated. Your authorization is confirmed by your successful login to the LPay platform (with the use of your password or fingerprint).

6.1.3 Once a funding source has been added to your account, you grant LinkedPay the authority to save and store the details of your funding source. Our Privacy and Cookie Policy will apply to all information stored and processed.

6.1.4 Once the funding sources added to your account have been set up and authenticated, all payments processed from your account are deemed to be genuine and LinkedPay will not be held liable for any form of fraud, oversight or compromise.

6.1.5 You will be responsible for any charges or penalties from any third party or your bank that occur as a result of any transactions made on your account.

6.1.6 Please note that some transactions may involve Charges. Our LinkedPay fee schedules are available on our website through communication with our Customer Service and will be displayed in the LPay App before any transaction is confirmed. The fee schedule provides details on the fee amounts, as well as the method and source of payment. LinkedPay reserves the sole discretion to revise the fee schedule from time to time as provided in Clause 10 of this Agreement.

6.1.7 You will be responsible for managing your sources of funding, in terms of additions, removals and updates.

6.2 Transaction:

6.2.1 You can access the funds available in your account at any time using any of the channels you choose, on your mobile phone or on the person responsible for the client company to manage the account, although we will make all reasonable efforts to provide the services as described in our policies and marketing. Transactions include, but are not limited to, the following: transferring funds, cash-in (loading), cash-out (withdrawing), balance purchase, bill payment, and merchant payments.

6.2.2 All payments will be processed in local currency, i.e. Kwanzas.

6.2.3 For the payment order to be fulfilled, the account must be duly funded in the specified amount and the respective charges, when applicable, and the User is also responsible for specifying the exact amount of the operation.

6.2.4 Each transaction will be identified by a unique transaction ID, which is used to track and identify all transactions carried out on the LPay network. Your transaction ID is important for a variety of uses, including settling any issues arising from transactions made on your account.

6.2.5 LinkedPay will send you a receipt for all transactions made from your LPay account or carried out as an Agent. This message can be sent via smartphone notification, SMS, email, or another available channel.

6.2.6 Your account will be credited with any deposit made into it, and the funds will be available for your use once the transaction has been approved.

6.2.7 The User's account cannot be debited until the payment order has been received. The time of receipt of a payment order is the time when that order is received by LinkedPay.

6.2.8 Orders given on non-working days shall be deemed to have been ordered on the working day. You must always meet the limit for same-day order processing, established by LinkedPay for the various products and services.

6.2.9 The User will only obtain the rectification of an unauthorised or incorrectly executed payment transaction if he/she notifies LinkedPay as soon as he/she becomes aware of them, and within a period not exceeding thirteen months from the date of the debit. The procedure for the complaint is as provided for in Clause 23 of this Agreement.

6.2.10 LinkedPay is responsible for the correct initiation or execution of the payment transaction, provided that the order has been issued directly by the User, and provided that it proves that the non-execution, the failures in the execution or the late execution are due to facts that are not attributable to it.

7. PROCEDURES INVOLVED IN THE USE OF PAYMENT TRANSFER SERVICES SCOPE

7.1 You may request the Pay by Transfer service.

7.1.1 Through the LPay App, you will be assigned a digital account number that has been linked to your LPay account;

7.1.2 By binding a physical poster, you will be able to link your digital account number and the linking code on the physical poster in the LPay App.

7.2 You may use the linked digital account number to receive payments, transfers and other available activities provided by LinkedPay via the LPay App. The Pay by Transfer service is linked to the LPay Account, which allows you to log in and access the service in the LPay App through your LPay Account (subject to the availability of such feature in the LPay App). All transactions completed through the Pay by Transfer service will be reflected in your LPay account balance.

7.3 The LPay Client may only have a maximum of two LPay accounts, with different numbers.

7.4 Any marketing activity of the Pay by Transfer service is subject to the display of the page in the LPay App.

7.5 LinkedPay reserves the right to temporarily suspend its Pay by Transfer service at any time if we believe there is a risk.

8. PROCEDURES FOR UPDATING ACCOUNT USER INFORMATION

8.1 From time to time, LinkedPay will verify the veracity of the information provided by the Users, and the latter undertake to keep it permanently updated and to send it to LinkedPay, whenever requested, within 5 (five) working days from the date of the request, or after the occurrence of changes in the information, under penalty of the User responding, under the terms of the law, for the veracity, certainty, sufficiency and consistency of the information provided to LinkedPay, as well as for any discrepancy between the data provided to LinkedPay and the real and/or official data.

8.2 LinkedPay may use databases maintained by third parties to verify the veracity and due updating of the information and documents provided by Users.

9. KYC LEVEL AND TRANSACTION LIMITS APPLY

9.1 The table below describes the classification of Customers adopted by LinkedPay along the KYC (know your customer) levels and the applicable transaction limits. You must not withdraw, transfer or make any payments that in the aggregate exceed any of the per-transaction, daily, monthly and account balance limits set for your category. If you try to exceed the applicable limits, your transactions will be declined.

9.2 LinkedPay may, acting reasonably and in accordance with the regulations set by the National Bank of Angola (B.N.A), change the limits at any time and any variation will be notified to customers through our website.

9.3 For the avoidance of doubt, please note that some transaction limits may be further lowered in relation to the BNA's maximum limits approved as part of our risk control process (for example, where we hold reservations about transactions made on your account).

9.4 The User undertakes, during the entire duration of his/her use of the LPay Application, to comply with the anti-fraud and anti-money laundering regulations applicable in Angola. In particular, you undertake to respond diligently to any request from LinkedPay or a regulatory or judicial authority in relation to any suspected fraud and/or money laundering activity on your account.

9.5 Any breach or suspected breach of the anti-fraud and anti-money laundering regulations by you, constitutes a serious breach of these Terms and Conditions and we reserve the right to immediately suspend or close your account and share your information with the relevant authorities.

9.6 Proceeds from suspected fraudulent transactions or money laundering will be kept by LinkedPay S.A., pending an internal or judicial, regulatory or administrative decision.

10. CHARGES

10.1 The fee due for the provision of the services shall be the one resulting from the application of the tariff defined in this Agreement (Annex I).

10.2 All changes to this tariff will be communicated by LinkedPay to the User 60 (sixty) days prior to the effective date of the new tariff.

10.3 If the User does not agree with the changes communicated by LinkedPay, he/she may terminate the Agreement free of charge.

10.4. The termination of the Agreement, under the provisions of the previous paragraph, does not entitle the User to any compensation.

10.5 After the period of 60 (sixty) days referred to in number 10.2., and without LinkedPay having received communication from the User to terminate the Agreement, the changes communicated thereto will come into force.

10.6 The fee for each transaction will be debited directly from the Payment Account at the conclusion of each transaction.

10.7 The fare excludes taxes applicable by law.

10.8 You will not be allowed to carry out any transaction if you do not have sufficient electronic money in your Payment Account to cover the value of the transaction and applicable charges (fee and taxes).

11. LINKEDPAY'S LOYALTY PROGRAMS

11.1 LinkedPoints" are part of a loyalty program in the LPay App that allows LinkedPay customers to receive points when their transactions qualify for such points or as rewards within the LPay App, as per temporary campaigns offered by LinkedPay.

11.2 LinkedPoints will be credited to the client's LPay account immediately or shortly after the qualifying activity/transaction has been completed. The amount of points awarded may change and will vary depending on the transaction completed; the amount spent; and when the transaction took place.

11.3 LinkedPoints can be redeemed for specific transactions as defined by LinkedPay. These transactions can include LinkedPay referrals, mobile top-up, and bill payment.

11.4 Clients can earn a maximum of 1000 LinkedPoints per day. If you earn more than this amount and your behavior is legitimate, we may contact you to update your account.

11.5 LinkedPay has the right to remove LinkedPoints at any time if transactions are reversed or cancelled.

11.6 LinkedPay has the right to remove LinkedPoints from a customer's account if it detects or suspects fraudulent behaviour. This should include, but is not limited to, transactions that go beyond what can objectively be considered consumer behaviour or personal use.

11.7 LinkedPay may set a limit on the number of times LinkedPoints can be awarded to a promotional item from time to time.

11.8 The LinkedPoints rules will be disclosed through our website.

11.9 LinkedPoints awarded at the time of the transaction or LinkedPoints already issued may be removed or cancelled if LinkedPay determines that points have been accumulated in breach of these Terms and Conditions or have been awarded in error. For the avoidance of doubt, any advice or actions by our staff or the Agent which are contrary to these Terms and Conditions shall not have the effect of amending these Terms and Conditions.

11.10 LinkedPoints have no value until they are converted into transaction discounts at the time of redemption. The current conversion value of points is one point equal to one Kwanza. This conversion rate may change in the future.

11.11 LinkedPay is under no obligation to award LinkedPoints for any reason outside of qualifying transactions.

11.12 The expiration date of LinkedPoints will be communicated and disclosed to Users from time to time.

12. INSURANCE OF DEPOSITED FUNDS

Unless otherwise stated, all funds in your LPay account will be insured up to the maximum level of coverage for depositors in accordance with Standard Bank Angola's deposit.

13. RULES APPLICABLE TO COMMERCIAL TRANSACTIONS AND THIRD-PARTY WEBSITES

13.1 When making a payment to any person or entity in exchange for goods or services (hereinafter referred to as the "Merchant") on LPay, the User shall be obliged to confirm the transaction. At this point, you may also be asked to enter your payment password, depending on the channel. By entering their payment password to confirm the transaction, the User agrees and confirms that they have authorized the transaction. You will not be able to directly reverse or cancel any payment once it has been approved by you.

13.2 When making a payment on a Merchant website via the LPay App, you will be required to log in to your LPay account before payments can be made.

13.3 As we are unable to reverse or reverse any payments made, if you have a dispute with any merchant, you must resolve such disputes directly with the merchant.

13.4 Disputes between you and a merchant will not affect our right to recover your payments.

13.5 You acknowledge that your dealings with a Merchant are solely at your own risk and agree that LinkedPay shall not be liable for any loss or damage of any kind in connection with your dealings with a Merchant. All rules, policies (including privacy policies) and operating procedures of a merchant will apply to you while on the merchant's website.

13.6 The foregoing clause also applies to third party websites, advertisers, special offers, other events or activities which are not owned, controlled or operated by LinkedPay, which links can be found on our services.

You acknowledge and agree that when the LPay Application contains links, registration portals, interfaces with other websites, resources, products and services provided by third parties, these are provided only as a courtesy. LinkedPay has no control over such third party websites, features, products or services and further agrees to waive any and all claims and rights against LinkedPay in respect of any loss or damage you may incur as a result of your use of the third party services.

14. CONDITIONS & REFUND

14.1 The User is entitled to a full refund by LinkedPay of an authorised payment transaction initiated by or through the beneficiary and which has already been executed, if the following conditions are cumulatively met:

(a) the authorisation does not specify the exact amount of the payment transaction at the time it was granted; and

(b) the amount of the payment transaction exceeds the amount that the payer could reasonably expect in view of its previous expenditure profile, the terms of this Agreement and the specific circumstances of the case.

14.2 The User bears the burden of proving that the conditions set out in the previous paragraph are met.

14.3 For the purposes of paragraph b) of paragraph 14.1, the User may not rely on reasons related to the exchange rate, if the reference exchange rate agreed with LinkedPay has been applied.

14.4 The User is entitled to submit the refund request within a period of 8 (eight) weeks from the date on which the funds were debited.

14.5 Within ten (10) working days of receipt of the refund request, LinkedPay will either refund you or provide a justification for your refusal.

14.6 The User shall not be entitled to a refund if the following conditions are cumulatively met:

a) The User has given his/her consent for the execution of the payment transaction directly to LinkedPay; and

b) Where applicable, LinkedPay or the payee has provided or made available to the User, in the agreed manner, information about the future payment transaction at least 4 (four) weeks before the date of execution.

15. THE SECURITY MEASURES WE HAVE IMPLEMENTED FOR YOUR ACCOUNT

15.1 LPay Account

15.1.1. When signing up for an LPay account, you will be asked to add a username (your mobile phone number), a login password and a transaction approval payment password. You may also be asked to answer one or more security questions of your choice, and you may be asked to select a security image. You are responsible for the safekeeping and proper use of such security data.

15.1.2 The User is responsible for protecting his/her entry password, payment password and security details. Accordingly, you are responsible for all transactions that occur on your account as well as applicable channels and undertake to indemnify us against any claims in relation to transactions made on your account.

15.1.3. If, at any time, the User believes or discovers that his/her login password or payment password has been stolen or compromised, the User must immediately start his/her LPay Account, and change the login password or payment password. If you are unable to change your security details, you should contact our Customer Service immediately. LinkedPay will deactivate the User's account to prevent possible misuse by third parties. Notification should be made to Customer Support, through the number +244 945291843. You release LinkedPay from any claims and/or damages based on any transactions made with your Payment Account prior to the notice provided herein being received by LinkedPay.

15.2 If you dispute any purchase or withdrawal charged to your account, you will be asked to prove that you did not have your consent. Such transactions will be investigated as soon as we receive an affidavit clearly stating that you did not authorise the transaction, accompanied by evidence.

15.3 We reserve the right to suspend or deactivate a user account if we have reasonable grounds to believe that there may be a breach of the security of that user account, if we suspect unauthorised or fraudulent use of that account or if we are required by law to do so.

15.4 We may ask you certain questions to confirm your identity or require you to provide the OTP when you call our Customer Service. Once your identity is confirmed, we will carry out your instructions. However, please note that we will never ask for your login password or payment password. We advise you not to disclose your login password or payment password to anyone under any circumstances.

15.5 We care about the integrity and security of your user information. We have implemented commercially reasonable technical and organizational measures designed to protect your information from accidental loss and unauthorized access, use, alteration, or disclosure. However, you acknowledge and agree that, despite our reasonable security measures, we cannot guarantee that electronic communications over the internet will be 100% secure and that unauthorized third parties will never be able to breach those measures or use your user information for improper purposes. The User acknowledges that he/she is under no obligation to use the services and that he/she provides any personal or confidential information to use the services at his/her own risk.

16. INTELLECTUAL PROPERTY RIGHTS OF CONTENT ON ALL LPAY PLATFORMS

You acknowledge and agree that the content, including, without limitation, text, software, music, sound, photographs, video, graphics, images, logos, button icons, editorial content, notices, design, compilation, magnetic translation, digital conversion, software (including, without limitation, HTML-based computer programs), other materials and other information presented to you through the services or other matters related to the services (collectively "Content"), are protected by copyrights, trademarks, and other proprietary rights (including, but not limited to, intellectual property). You are only permitted to use this content as expressly authorized by LinkedPay or the services. You do not acquire any ownership rights in any content viewed through the Website/Application or any express or implied license to our intellectual property or the intellectual property of our licensors. Use of content not expressly permitted by these Terms is strictly prohibited. The posting of information or materials on the Website or Application does not constitute a waiver of any right to such information and materials.

17. MANAGEMENT OF USER CONTENT

The Services may allow you to send content, send emails and other communications, and provide other information for publication or distribution to third parties (collectively, "user content"). Any user content must not be unlawful, threatening, obscene, racist, defamatory, libelous, pornographic, infringing of intellectual property rights, promotion of illegal activity or harm to groups and/or individuals, invasive of privacy, purposely false or otherwise harmful to third parties, or objectionable and must not consist of or contain software, computer viruses, commercial solicitation, political campaigns, chain letters, mass mailings, or any form of "spam." If you submit User Content, and unless otherwise indicated, you grant us a non-exclusive, perpetual, royalty-free, irrevocable, and fully SUB-licensable right (through multiple tiers) to use, modify, reproduce, adapt, translate, publish, create derivative works from, distribute, display, and otherwise exploit such User Content throughout the world and in any medium. We assume no responsibility for any user content submitted by you or any other user or third party. You acknowledge that your disclosure is gratuitous, unsolicited, unrestricted, and will not place LinkedPay under any fiduciary or other obligation. You further acknowledge that by accepting your submission, LinkedPay does not waive any rights to use similar, related ideas previously known to LPay, or developed by its officers, employees, agents, or contractors, or obtained from sources other than by you.

18. CONSENT TO THE EXECUTION OF PAYMENT TRANSACTIONS AND TO THE COLLECTION AND PROCESSING OF DATA

18.1 The execution of a payment transaction is subject to the express consent of the User, and consent may be given before or, if agreed between the parties, after the execution of the transaction. See 13.1

18.2 The absence of consent presupposes that the operation has not been authorised.

18.3 The consent given by the User may be withdrawn, provided that the User does so until such time as the order is considered irrevocable.

18.4 LinkedPay respects and is committed to protecting your privacy. Please understand that by accessing or using the Services and/or submitting your User Information through the Services, you consent to the use, storage and disclosure of your User Information as set forth in our Privacy and Cookie Policy. See the full Privacy and Cookie Policy on our website.

18.5 You acknowledge that your personal data, including but not limited to name, mobile phone number, date of birth, email address and device information submitted during registration, is processed by LPay in the manner described in our Privacy and Cookie Policy.

18.6 The User expressly consents that LinkedPay may use and process the above-mentioned data for the purposes described in our Privacy and Cookie Policy.

18.7 The User consents to the sharing of their personal data with the regulator and operators of the Angolan Payment System, for the purposes of superintendence, management and operation of said system, and LinkedPay undertakes to safeguard compliance with the provisions of article 92 of the Angolan Payment System Law.

18.8 The User expressly consents to the personal data collected being shared with third parties who are involved in the execution of the Services by way of subcontracting by LinkedPay. For this purpose, the User's personal data may be transferred to other territories, and LinkedPay undertakes to ensure, in writing, that the entity receiving the personal data complies with the provisions of the Personal Data Protection Law.

18.9 The User consents to the use of his/her personal data by LinkedPay for the selection of advertising directed to the User.

18.10 The information shared is treated based on LinkedPay's guidelines.

18.11 LinkedPay acknowledges that the consent described in the previous point may be withdrawn at any time (without any reason) by sending an e-mail to the User. suporte@LinkedPay.co.ao and +244 945291843.

18.12 The User may exercise his/her rights under the Data Protection Act with LinkedPay at any time.

19. RESTRICTIONS ON THE USE OF THE SERVICES

Displaying, printing, or downloading any graphic content, form, or document from the Site or Application grants you only a limited, non-exclusive right to use it, solely by you for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, benefit of any third party, or other use. No part of any content, form or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, except for your personal use (but not for resale or redistribution). You agree not to engage in: (a) copying, modifying, distributing or disclosing any portion of the Services in any medium, including, without limitation, by any automated or non-automated "scraping" or creation of any derivative product; (b) collect any information from you, including without limitation, account names for the Services; (c) impersonate another person or entity, falsely misrepresent, misrepresent your identity or affiliation with a person or entity, conduct fraud, conceal or attempt to conceal your identity; (d) interfere with the proper working of the Services; (e) access any content on the Services through any technology or means other than those provided or authorized by the Services; (f) disassemble, decompile, or reverse engineer the Services or any portion of the Services or otherwise seek to obtain the source code of the Services, except to the extent such restriction is expressly prohibited by law; (g) use the Services in any manner that is unlawful, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable, as we may determine in our sole discretion; or (h) jeopardize the security of your user account or the accounts of any other users.

20. APPLICABLE INDEMNITIES

In addition to any other indemnification provision provided in these Terms, you agree to indemnify, hold harmless and reimburse LinkedPay, its affiliates, its agents, licensors, suppliers, contractors and third-party service providers, and their respective employees, members and directors and (collectively "Indemnified Parties") from and against any and all claims, losses, suits, damages (actual and consequential), obligations, penalties, any losses arising from the loss or theft of your user information or your mobile device or from unauthorized or fraudulent transactions associated with your user account, fines, liabilities, settlements, costs or debts, and expenses (including, without limitation, court costs and reasonable attorneys' fees) losses arising out of or in any way connected with any third-party claims relating to your use of the services, violation of these Terms, applicable law, or any rights of a third party, or your fraud or willful misconduct. This defense and indemnification obligation will survive any termination of these Terms and your use of the services.

21. ACCOUNT SUSPENSION/CLOSURE PROCEDURES

21.1 You agree that, to the extent permitted by applicable law, we may, in our sole discretion and without liability to you, terminate (or suspend access to) your use of the services, content or your account for any reason, including but not limited to your violation of these Terms.

21.2 We will not be liable to you for any direct, indirect, consequential or special damages arising from any act or omission on our part or that of any third party for which we are liable; whether they arise in a contract or statute; or if we terminate or suspend your account in accordance with these Terms.

21.3 In any case, where your LPay Account is closed for any reason and you have a balance of funds, you may make a request to our Customer Services for the return of your balance and it will be made available for you to withdraw, preventing any legal or regulatory provisions preventing such withdrawal.

22. TERMINATE YOUR USE OF OUR SERVICE

You may terminate your use of our services at any time by notifying LinkedPay and in accordance with the guidelines provided by LinkedPay.

23. PROCEDURES FOR LODGING COMPLAINTS

23.1 Any complaints that the User intends to make must be made through the LPay Application, and may also be addressed to an Agent or by e-mail, being duly substantiated and accompanied by all the documentary elements available to the User and that are proof of the fact that is the object of the complaint.

23.2 LinkedPay will make every effort to respond, also on a durable medium (paper or e-mail), to complaints submitted by the User as soon as possible.

23.3 Complaints by e-mail should be sent to: suporte@linkedpay.co.ao using your e-mail address and e-mail address provided by you. Customer service is available on the phone number: +244 945291843.

24. COMMUNICATIONS

24.1 Communications to the User under this Agreement shall be made as follows: a) on paper, delivered directly to the User and given by the User by the Agent; b) in electronic form, by means of an e-mail addressed to the User, at the mobile phone number provided by the User or at a later time, in writing; and (c) by SMS.

24.2 The User undertakes to immediately notify LinkedPay of the update of the telephone number, e-mail address as well as the communication elements declared in the LPay Account opening form.

24.3 In the event that, due to the User's fault or the impossibility of locating the indicated number, the communication is not made, it will be considered received, exempting LinkedPay from any other liability.

24.4 LinkedPay shall not be liable for damages or losses resulting from the non-communication or impossibility of executing orders or instructions from the User, provided that, for reasons that are proven not attributable to it, the six computer systems or those of third parties, whose use for the necessary purpose, do not allow the timely or complete execution of such communication, orders or instructions.

24.5 The written communication inserted in the account statements that are delivered to the User will be considered.

24.6 The communications that the User has to make to LinkedPay will be made as follows: a) on paper, delivered directly to the Agent; (b) in electronic form, by e-mail to the suporte@LinkedPay.co.ao address; and c) for LinkedPay's headquarters located in Luanda Province, Municipality and Urban District of Talatona, Masuika Building, Tower B, 1st A.

24.7 Communications between the Parties will be made in Portuguese, admitting, exceptionally, the use of other languages, as long as LinkedPay deems it convenient.

25. MODIFICATION OF THESE TERMS

25.1 LinkedPay may post notices, links or SMS through its services to inform you of changes to the Terms, the Services or other important matters.

25.2 Without prejudice to the provisions of the previous point, the User accepts that LinkedPay, at any time, namely due to market variations, may unilaterally amend this Agreement, with 60 (sixty) days' notice, in relation to the dates on which the changes should come into force, and such communication may be made in accordance with the provisions of Clause 24.

25.3 Changes to this Agreement shall be deemed accepted by the User if the User has not objected in writing to the changes between the date on which prior notice is deemed to have been received and the date on which the changes come into effect.

25.4 Any change to this Agreement that may occur will apply to all new operations that take place after such change, as well as to the renewal of ongoing operations.

25.5 The User may terminate this Agreement, free of charge, if he/she does not agree with the changes to be made under the terms of the previous paragraphs, unless the amended contractual provision is of a purely instrumental nature.

26. VALIDITY AND TERMINATION

26.1 Without prejudice to the provisions of the following paragraph, this Agreement shall be in force for an indefinite period.

26.2 Either Party may, at any time, terminate this Agreement and the agreements relating thereto, provided that it communicates its intention to the counterparty with a notice of sixty (60) days prior to the date intended for the termination to take effect.

27. OTHER CONSIDERATIONS

27.1 Governing Law: These Terms are made under and shall be governed by and construed in accordance with the Laws in force in the Republic of Angola, without giving effect to any principles providing for the application of the law of another jurisdiction.

27.2 No Waiver: The failure of LinkedPay to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

27.3 Severability: If any provision of the Terms is found to be invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the legality, enforceability or validity of the remaining provisions, which shall remain in full force and effect.

27.4 Assignment: LinkedPay expressly reserves the right to assign, delegate and transfer these Terms and your rights and obligations under these Terms in part or as a whole and including, without limitation, to a subsidiary, affiliate, successor or any third party without your consent. You shall not transfer, assign or delegate these Terms, or your rights, obligations and user account in any way under these Terms, to any person or entity without our prior written approval.

27.5 Entire Agreement: These Terms, together with our Privacy and Cookie Policy, guidelines and any other legal notices published by us, shall constitute the entire agreement between you and us in relation to the Website, the content, products or services provided by us or through the Website. You acknowledge and agree that you do not have any authority of any kind to bind LinkedPay in any respect.

27.6 Disclaimer: The Services, all components and related information are provided on an "as is" and "as available" basis, without any warranties of any kind, and LinkedPay expressly disclaims any and all warranties, express or implied, including but not limited to implied warranties of merchantability, title, fitness for a particular purpose and non-infringement. You acknowledge that LinkedPay does not warrant that the Services will be uninterrupted, timely, secure, error- or virus-free, nor does it make any warranty as to the results that may be obtained from the use of the Services.

27.7 Additional Terms: In conjunction with your access to or use of the Services, you may be subject to additional terms, rules, policies and conditions that are posted on the Website, including but not limited to Terms and Conditions for our referral or rewards programs (the "Additional Terms"), which are incorporated by reference into these Terms. In the event of a conflict between any Additional Terms and these Terms, they shall prevail.

27.8 Language of the Agreement: This Agreement is concluded in the English Language.

27.9 Dispute Resolution: The Parties declare that they will make every effort to amicably resolve any disputes, doubts or omissions resulting from the performance of this Agreement.

27.10 In the event that amicable settlement is not possible, disputes shall be resolved as follows: (i) Mediation; (ii) Arbitration. If Mediation is chosen, it will take place at the Centre for Extrajudicial Dispute Resolution (CREL), in accordance with the Mediation Rules in force at the time of the dispute. If, at the end of the period of one (1) month, the dispute has not been resolved, in whole or in part, through Mediation, it shall be resolved through Arbitration, at CREL, in accordance with the Law on Voluntary Arbitration and the Arbitration Rules in force at the date of the dispute, also observing the following:

a) The number of arbitrators shall be three, appointed in accordance with the Rules;

b) The Arbitral Tribunal judges according to the law constituted in Angola;

c) Statements of fact and law shall be made in writing;

d) The language of the arbitration shall be Portuguese;

e) The decisions of the Arbitral Tribunal shall not be subject to appeal.
