Company Accounts Agreement

1. About Us

1.1 These Terms and Conditions come into force on the date of joining by the Merchant. These Terms and Conditions were last updated on February 26, 2024.

1.2 LinkedPay provides a full suite of payment services for merchants, through our LPay Portal, enabling businesses to accept payments from customers online or by POS.

1.2 Our IT Infrastructure ensures integrated risk management, as provided for in the Terms and Conditions for Merchants. You should consider these risks carefully before continuing to use our services.

2. Scope of LPay Merchants

2.1 After completing your registration, you must accept our Institution's Merchant Membership Service Terms and Conditions, which will provide you with payment processing services.

2.2 As part of your registration process, we may assess your business from a compliance and risk perspective. This agreement will also include pricing information.

2.3 Once registered, the Merchant will be able to select the payment integration method that best suits its needs. We offer different types of payment methods that can include cards and electronic money. Using the LPay Portal, the Merchant can manage their payments and process refunds to customers if necessary. Funds will be settled in your account periodically based on the volume processed with LPay.

2.4 To protect your business, we may from time to time refuse transactions that we believe to be fraudulent. Our merchant support lines are open Monday to Friday from 8 am to 6 pm and our team is fully available to assist you with customer service.

3. Access to the LPay Merchant Portal

3.1 As part of your Merchant Account, we will also provide you with access to the LPay portal. This portal allows the Merchant to:

(1) View your processed transactions.

(2) View payments to your LPay account.

(3) Check Full refunds for customers.

(4) View analytics based on your business.

(5) Check the details of your integration.

3.2 It is your responsibility to manage the account and password information you provide to access the Merchant Portal.

4. KYC Level and Applicable Transaction Limits

The table below outlines the customer classification adopted by LinkedPay across the KYC levels and the applicable transaction limits. You must not withdraw, transfer or make any payments that, in the aggregate, exceed any of the per-transaction or daily limits set for your category. If you try to exceed the applicable limits, your transactions will be declined.

Level III (Legal Person)

Name of the company, corporate purpose, tax identification number, full address of the registered office, name of the partners and legal representatives, telephone contact and signature, identity card, passport or resident card of the partners and representatives, commercial registration certificate or commercial license and tax identification document.

5. Merchant Use and Acceptance Policy

Merchant is independent and responsible for complying with all applicable Laws related to the use of the service portal. However, by accessing and using the portal, the Merchant agrees to abide by the Terms and Conditions of our Usage Policy, which can be read on the official LinkedPay page.

6. Consent

6.1 The merchant consents that LinkedPay may use his/her personal data whenever necessary for the better functioning of its services.

6.2 The customer/merchant consents to the sharing of their personal data with the regulator and operators of the Angolan Payment System, for the purposes of superintendence, management and operation of said system, and LinkedPay undertakes to safeguard compliance with the provisions of article 92 of the Angolan Payment System Law.

7. Termination

7.1 LinkedPay reserves the right to terminate the Merchant Service at any time upon prior notice by email or announcement on its website in accordance with Applicable Law.

7.2 LinkedPay has the right to check the Merchant's activity, if the Merchant's use violates Local Law and Policies, or Social Morality, Public Order and Customs, or has a Negative Impact on the LinkedPay Brand, LinkedPay shall have the right to terminate the Services and will not diminish any Compensation rights that LinkedPay may have under the Law.

Merchant Use and Acceptance Policy

By accessing or using the LPay portal, the Merchant agrees to abide by the Terms and Conditions of this Policy.

1. Restricted Activities

Merchant may not use LPay Portal in connection with any product, Service, Transaction or Activity that:

1.1 Violate any Governmental Law or Regulation, Promote or Facilitate it for any Third Party.

1.2 Violate Any Rule or Regulation of Visa, MasterCard, or Any Other Electronic Money Transfer Network (each, a "Card Network").

1.3 Is Fraudulent, Deceptive, Unfair or Predatory.

1.4 Cause or Threaten to Cause Damage to our Reputation or to Any Card Network.

1.5 Engage any of the Business Categories listed in Clause 2.

1.6 Result in or Create a Significant Risk of Chargebacks, Penalties, Damages, or Liability.

2. Specific Business Categories

2.1 The Merchant may not use the LPay Portal in connection with any Product, Service, Transaction or Activity that:

(1) Falls under the Prohibited List of the Customs Administration of the Republic of Angola.

(2) Refers to the Sale and/or Purchase of:

(3) Prohibited Narcotics, Steroids, Certain Controlled Substances, or Other Products That Pose a Risk to Consumer Safety.

(4) Blood, Body Fluids, or Body Parts.

(5) Theft Tools.

(6) Counterfeit Items.

(7) Illegal Drugs and Drug Paraphernalia.

(8) Fireworks, Destructive Devices and Explosives.

(9) Identity Documents, Government Documents, Personal Financial Records, or Personal Information (In Any Format, Including Contact Lists).

(10) Lottery Tickets, Sweepstakes Without the Necessary License.

(11) Offensive Material or Hate Speech or Items That Promote Hate, Violence, Racial Intolerance, or the Financial Exploitation of a Crime.

(12) Police Badges or Uniforms.

(13) Chemicals.

(14) Recovered Items.

(15) Prohibited Services.

(16) Financial Services « Unlicensed, Stocks or Other Securities.

(17) Stolen Property.

(18) Items That Infringe or Violate Any Copyright, Trademark, Right of Publicity or Privacy or Any Other Proprietary Right under the Laws of Any Jurisdiction.

(19) Sale of Currency without BNA License, Specific Cryptocurrency Operators.

(20) Obscene Material or Pornography.

(21) Sexual Orientation Specific Materials or Services.

(22) Firearms, Firearm Parts or Accessories, Ammunition, Weapons or Knives.

(23) Any Product or Service that is Illegal, Marketed or Sold in a Way That Creates Liability for LinkedPay.

2.2 Or Refer to Transactions that:

(1) Showing the Personal Information of Others in Violation of Applicable Law.

(2) Supporting Pyramid or Ponzi Schemes, Matrix Programs, Other "get-rich-quick" Schemes, or Certain Multi-Level Marketing Programs.

(3) Are Associated with Purchases of Annuities or Lottery Contracts, Lay-away Schemes, Off-shore Banking Services, or Transactions to Finance or Refinance Credit Card Financed Debt.

(4) Refer to Ammunition and Weapons.

(5) Involves Gambling, Gaming and/or Any Other Activity with an Entry Fee and a Prize, including, but not limited to, Casino Games, Sports Betting, Horse or Greyhound Racing, Lottery Tickets, Other Ventures Facilitating Gambling, Games of Skill (whether or not Legally Defined as a Lottery) and Sweepstakes, unless the Operator has Obtained Prior Approval from LinkedPay and the Operator and Customers are Exclusively Located in Jurisdictions where such Activities are Permitted by Law.

3. LinkedPay Shares

If, in our sole discretion, we believe that the Merchant may have engaged in any violation of this Use and Acceptance Policy, we may (with or without notice) take such actions as we deem appropriate to mitigate the risk to LinkedPay and any affected third parties and to ensure compliance with this Use and Acceptance Policy. Such actions may include, but are not limited to:

3.1 Blocking payments or completing one or more payments.

3.2 Suspend, restrict, or terminate your access to and use of the Services to the LPay application.

3.3 Termination of our business relationship with the Company, including termination without liability to LinkedPay of any payment service agreement between Merchant and LinkedPay.

3.4 Take legal action against the Merchant.

3.5 Contact and disclose information relating to such breaches to (i) persons who have sold/purchased goods or services from the Merchant, (ii) any banks or card networks involved with your business or transactions, (iii) regulatory or law enforcement agencies, and (iv) other third parties who may have been affected by such breaches.

3.6 Assess against Merchant any fees, penalties, assessments, or expenses (including reasonable attorneys' fees) that we may incur as a result of such breaches, which Merchant agrees to pay immediately upon notice.

4. Updates, Modifications and Amendments

4.1 We may need to update, modify or amend our Merchant Use and Acceptance Policy at any time. We reserve the right to make changes to this Use and Acceptance Policy.

4.2 We advise the Merchant to check this page frequently, referring to the date of the last modification on the page.

5. Validity

5.1 This contract shall be in force indefinitely.
